1. Introduction
These Terms of Service ("Terms") govern your access to and use of Stockd, an inventory management platform operated by Mintd Ltd ("Mintd", "we", "us", "our"), a company registered in England and Wales under company number 16677272, with our registered office at 82A James Carter Road, Mildenhall, Bury St Edmunds, IP28 7DE.
By registering for a Stockd account, you ("you", "your", "the Dealer") confirm that you are entering into a legally binding agreement with Mintd Ltd on behalf of the business you represent. You confirm that you have the authority to bind that business to these Terms.
If you do not agree to these Terms, you must not use Stockd.

2. Definitions
"Stockd" means the inventory management platform available at stockd.uk, including all features, tools, APIs, and associated services provided by Mintd.
"Account" means the workspace created for your business upon registration.
"Authorised Users" means the individuals you permit to access Stockd under your Account, including Directors, Sales staff, and Stockroom staff.
"Content" means all data, records, photographs, documents, and other information you or your Authorised Users upload, enter, or generate within Stockd.
"Subscription" means your paid plan (Starter, Professional, Business, or Enterprise) or free trial period.
"Asset Provenance Data" means timestamped ownership chain records, asset identity records, and ledger entries generated within Stockd that record the ownership history of physical items.
3. Eligibility
Stockd is intended exclusively for use by businesses and individuals operating in a professional business capacity. You must be aged 18 or over to create an Account. By registering, you confirm that:
- You are aged 18 or over
- You are acting on behalf of a legitimate business
- The information you provide during registration is accurate and complete
- You will keep your account information up to date
4. Your Account
4.1 Registration
You must provide accurate and complete information when creating your Account. The person completing registration is deemed to be the Director and primary account holder for the business.
4.2 Security
You are responsible for maintaining the security of your Account credentials. You must not share your password with anyone outside your business. You are responsible for all activity that occurs under your Account. You must notify us immediately at hello@stockd.uk if you suspect any unauthorised access to your Account.
4.3 Authorised Users
You may invite additional Authorised Users to your Account up to the limit permitted by your plan. You are responsible for ensuring your Authorised Users comply with these Terms. Any breach of these Terms by an Authorised User will be treated as a breach by you.
5. Free Trial
5.1 Trial period
All new Accounts are entitled to a free trial period of 14 days from the date of registration. No payment card is required during the trial period.
5.2 Trial features
During your free trial, you will have access to the features included in the plan you selected at registration.
5.3 End of trial
At the end of your free trial period, you must provide valid payment details and select a paid plan to continue using Stockd. If you do not do so, your Account will be suspended and you will lose access to the platform. Your data will be retained for 30 days following suspension, after which it will be permanently deleted.
5.4 Trial extensions
Mintd may at its sole discretion extend the free trial period for certain Accounts. Any such extension is a one-time courtesy and does not create any obligation on Mintd to offer further extensions.
6. Subscriptions and Payment
6.1 Plans
Stockd is available on the following subscription plans:
- Starter — £99 per month
- Professional — £299 per month
- Business — £599 per month
- Enterprise — custom pricing, contact hello@stockd.uk
Annual subscription plans are available at a discounted rate. Details of current annual pricing are available at stockd.uk/pricing.
6.2 Billing
Subscriptions are billed monthly or annually in advance. Payment is processed by our third-party payment processor. By providing payment details you authorise us to charge the applicable subscription fee on a recurring basis until you cancel.
6.3 Failed payments
If a payment fails, we will attempt to collect payment again. If payment remains outstanding, your Account may be suspended until payment is received. We will notify you by email of any payment failure.
6.4 Price changes
We will give you no less than 30 days' written notice of any increase to subscription prices. Continued use of Stockd after a price change takes effect constitutes your acceptance of the new pricing.
6.5 New features
When new features are added to Stockd, we will notify all active subscribers by email. New features may be included within your existing plan or made available as an upgrade at Mintd's discretion.
6.6 Feature changes or removal
We will give you no less than 14 days' notice before removing or significantly changing any feature that forms part of your subscription plan.
7. Cancellation and Refunds
7.1 Monthly plans
You may cancel your monthly subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access to Stockd until the end of that billing period. No refunds are provided for any unused portion of a monthly subscription.
7.2 Annual plans
Annual subscriptions are non-refundable. If you cancel an annual subscription, you will retain access to Stockd until the end of your current annual billing period. No pro-rata refunds are provided for cancellations made part-way through an annual subscription period.
7.3 How to cancel
You may cancel your subscription at any time through the billing portal within your Account settings, or by contacting us at hello@stockd.uk.
7.4 Data following cancellation
Following the end of your subscription period, your data will be retained for 30 days to allow you to export your records. After this period, all Account data will be permanently and irreversibly deleted. We strongly recommend exporting your data before cancellation takes effect.
8. Acceptable Use
8.1 Permitted use
Stockd is licensed to you for the purpose of managing your business inventory, client records, repairs, consignments, and related operations in the ordinary course of your legitimate business activities.
8.2 Prohibited use
You must not use Stockd to:
- Knowingly handle, record, or facilitate the sale of stolen goods or goods obtained by unlawful means
- Process or launder the proceeds of criminal activity
- Circumvent, evade, or fail to comply with your obligations under the Money Laundering Regulations 2017 or any other applicable anti-money laundering legislation
- Contact, harass, threaten, or unlawfully communicate with any individual using the platform's notification or messaging features
- Resell, sublicense, or provide access to Stockd to any third party who is not an Authorised User of your Account
- Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of Stockd
- Introduce viruses, malicious code, or any other harmful material into the platform
- Attempt to gain unauthorised access to any part of the platform or any other user's Account
- Use the platform in any way that violates applicable law or regulation
- Use the platform in connection with any activity that is illegal, fraudulent, or harmful to others
8.3 Regulatory compliance
You are solely responsible for ensuring that your use of Stockd complies with all laws and regulations applicable to your business, including but not limited to anti-money laundering regulations, data protection law, and any trade or industry regulations applicable to the watch and jewellery trade.
8.4 Suspension for external matters
Mintd reserves the right to suspend or terminate your Account if we become aware of credible information suggesting that you or your business are subject to criminal investigation, prosecution, regulatory action, or sanction by a relevant authority, or if your continued use of the platform would in our reasonable opinion create a legal, reputational, or regulatory risk for Mintd.
9. Content and Data Ownership
9.1 Your Content
You retain ownership of all Content you upload or enter into Stockd, including item records, client records, photographs, and documents. Mintd does not claim any ownership rights over your Content.
9.2 Licence to Mintd
By using Stockd, you grant Mintd a limited, non-exclusive, royalty-free licence to store, process, and display your Content solely for the purpose of providing the Stockd service to you. We will not use your Content for any other purpose without your consent.
9.3 Asset Provenance Data
Notwithstanding the above, Asset Provenance Data — being the timestamped records of ownership chain events, asset identity records, and ledger entries generated within Stockd — forms part of the verified asset history infrastructure operated by Mintd. While you retain the right to access and export your own records, Mintd retains the right to maintain and use anonymised, non-personally identifiable Asset Provenance Data as part of its broader asset verification and institutional infrastructure indefinitely. This data does not identify you, your clients, or your business and is used solely in connection with Mintd's legitimate purpose of maintaining the integrity of asset provenance records across the platform.
9.4 Mintd's intellectual property
All intellectual property rights in Stockd, including the platform, software, design, trademarks, and all associated materials, are owned by Mintd Ltd. Nothing in these Terms grants you any rights in or to Mintd's intellectual property other than the limited right to use Stockd in accordance with these Terms.
10. Availability and Service Levels
10.1 Availability
We will use reasonable endeavours to make Stockd available at all times. However, we do not guarantee uninterrupted or error-free access to the platform. We may suspend access for maintenance, updates, or other operational reasons and will endeavour to give reasonable advance notice where possible.
10.2 No warranty
Stockd is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Mintd makes no warranties, express or implied, regarding the platform, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
11. Limitation of Liability
11.1 Exclusion of consequential loss
To the fullest extent permitted by applicable law, Mintd shall not be liable for any indirect, incidental, special, consequential, or punitive loss or damage, including but not limited to loss of profits, loss of revenue, loss of business, loss of data, or loss of goodwill, arising out of or in connection with your use of or inability to use Stockd, even if Mintd has been advised of the possibility of such loss.
11.2 Cap on liability
Mintd's total aggregate liability to you in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total subscription fees paid by you to Mintd in the 12 months immediately preceding the event giving rise to the claim.
11.3 Exceptions
Nothing in these Terms excludes or limits Mintd's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
12. Indemnity
You agree to indemnify, defend, and hold harmless Mintd Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of Stockd in breach of these Terms
- Your violation of any applicable law or regulation
- Any claim brought by a third party arising from Content you have uploaded or actions you have taken using the platform
- Any breach of your data protection obligations in relation to your clients' personal data
13. Suspension and Termination
13.1 Termination by you
You may terminate your Account at any time in accordance with Section 7 (Cancellation).
13.2 Suspension or termination by Mintd
Mintd may suspend or terminate your Account immediately and without prior notice if:
- You fail to make payment when due and payment remains outstanding after a reasonable period
- You breach any provision of these Terms
- You engage in or are suspected of engaging in illegal activity
- You act in an abusive, threatening, or harassing manner toward any Mintd employee, contractor, or representative
- Your continued use of the platform creates a legal, regulatory, or reputational risk for Mintd as described in Section 8.4
13.3 Termination of the platform
In the event that Mintd decides to discontinue Stockd as a service, we will give you no less than 30 days' written notice. We will provide you with a reasonable opportunity to export your data before the platform is closed.
13.4 Effect of termination
Upon termination of your Account for any reason, your right to access Stockd will cease immediately or at the end of your billing period as applicable. The provisions of these Terms that by their nature should survive termination will continue in full force and effect, including but not limited to Sections 9, 11, 12, and 15.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of any material changes by email and by displaying a notice within the platform no less than 14 days before the changes take effect. Your continued use of Stockd after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not accept the updated Terms, you must stop using Stockd and cancel your subscription.
15. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
16. General
16.1 Entire agreement
These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Mintd relating to your use of Stockd and supersede all prior agreements and understandings.
16.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
16.3 Waiver
No failure or delay by Mintd in exercising any right under these Terms shall constitute a waiver of that right.
16.4 Assignment
You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. Mintd may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
16.5 Third party rights
These Terms do not create any rights enforceable by third parties under the Contracts (Rights of Third Parties) Act 1999.
